Consolidated Hallmark Holdings Plc Approves 25 Kobo Total Dividend at 3rd AGM

Consolidated Hallmark Holdings Plc shareholders have approved a total dividend payout of 25 kobo per share for the financial year ended December 31, 2025 following resolutions passed at the company’s 3rd Annual General Meeting held in Lagos.

The approved dividend consists of a final dividend of 15 kobo per share in addition to the interim dividend of 10 kobo previously paid on August 27, 2025.

The resolutions were passed during the meeting held at the Federal Palace Hotel in Victoria Island, Lagos, where shareholders also adopted the company’s audited financial statements alongside reports presented by the directors, auditors and audit committee.

At the meeting, Dr. Tony Anonyai, Mr. Adegbola Adesina and Chief Sunny Obidegwu were re-elected as directors after retiring by rotation and offering themselves for re-election.

Shareholders also approved the re-appointment of PKF Professional Services as the company’s external auditors effective January 1, 2026 while authorising the board to determine the auditors’ remuneration for the 2026 financial year.

The remuneration of managers of the company was disclosed in line with regulatory requirements.

For the statutory audit committee, shareholders approved the election of Chief James Emadoye, Chief Simon Okiotorhoro and Mr. John Azubuike Ogbeka as shareholder representatives.

Mr. Adegbola Adesina and HRH Eze Ben Onuora were also appointed to represent the board on the committee.

Under the special business segment of the meeting, shareholders approved the remuneration of Non-Executive Directors for the year ending December 31, 2026.

The resolutions come as insurance and financial services firms continue to strengthen governance structures and shareholder return strategies amid evolving regulatory expectations and increased competition within Nigeria’s financial sector.

Analysts said sustained dividend payments and stable governance structures remain important indicators for investors monitoring long-term value creation opportunities within the insurance and financial holdings segment of the Nigerian capital market.
