FPNG Co-Nvest Limited Acquires 5% Stake in NGX Group

Nigerian Exchange Group Plc (NGX Group) has formally notified the market that FPNG Co-Nvest Limited now holds 5 percent of the issued share capital of the company.

The disclosure, dated February 23, 2026, was made in line with Rule 17.13 of the Rulebook of Nigerian Exchange Limited (Issuers’ Rules), which mandates notification of significant shareholding thresholds.

According to the notice signed by Izuchukwu Akpa, Acting Group Company Secretary, NGX Group was formally informed by FPNG Co-Nvest Limited that its total shareholding reached 5 percent of the company’s issued shares as of February 16, 2025.

Under NGX regulations, any shareholder whose stake reaches or exceeds the 5 percent threshold is required to notify the Exchange, ensuring transparency and timely disclosure to the investing public.

The emergence of a 5 percent shareholder is considered a material development within the capital market, as such holdings may influence voting power at general meetings and strategic corporate decisions.
