Ess-ay Investment Acquires 26.97 Million Sterling HoldCo Shares in Insider Deal

Sterling Financial Holdings Company Plc has disclosed an insider share purchase involving Ess-ay Investment Limited, a related party to Mrs. Tairat Tijani, a Non-Executive Director of Sterling Bank Ltd, a subsidiary of the holding company.

In a notification dated January 23, 2026, the company said the transaction was an initial insider notification in compliance with regulatory requirements.

According to the disclosure, Ess-ay Investment Limited purchased 26,967,509 ordinary shares of Sterling Financial Holdings Company Plc between January 6 and January 14, 2026 on the Nigerian Exchange Limited.

The shares were acquired through multiple on-market transactions at prices ranging from ₦7.05 to ₦7.75 per share, resulting in a weighted average price of ₦7.34 per share.

The transactions involved purchases of varying volumes across the trading period, including blocks of 3.7 million units at ₦7.35, 3.5 million units at ₦7.50, 2.29 million units at ₦7.75, and 1.97 million units at ₦7.70, among others.

Sterling Financial Holdings Company Plc confirmed that the financial instrument involved carries the ISIN: NGSTERLNHCO9, and that all trades were executed on the Lagos trading floor of the Nigerian Exchange Limited.

The insider purchase signals increased stakeholding exposure by a related party to a board member and adds to recent market activity around Sterling HoldCo shares.
