Guaranty Trust Holding Company Plc has completed a Private Placing of 125 million ordinary shares at N80.00 per share, raising a total of N10 billion in fresh capital.
The allotment announcement shows that the Private Placing attracted a single valid application for the entire number of shares offered.
The application was reviewed and processed in line with the terms of the Placing Memorandum dated December 24, 2025, resulting in full subscription of the offer.
Under the approved basis of allotment, the applicant was allotted the full 125,000,000 ordinary shares, corresponding to a total consideration of N10,000,000,000. No scaling was required, as demand exactly matched the size of the offer.
GTCO disclosed that the basis of allotment and the allotment announcement received regulatory clearance from the Securities and Exchange Commission, confirming compliance with capital market requirements.
The newly allotted shares will be credited directly to the allotteeโs account with the Central Securities Clearing System. The crediting process will be handled by the companyโs registrar to the Private Placing, DataMax Registrars Limited, with immediate effect.
The allotment notice, dated January 21, 2026, was issued strictly as a matter of record, in accordance with regulatory disclosure obligations.
