BERGER PAINTS NIGERIA PLC – NOTIFICATION OF CHANGES TO THE COMPOSITION OF THE
BOARD OF DIRECTORS

This is to inform our stakeholders and by extension, the public, that Chief Musa Danjuma and Chief Nelson Nweke, both Directors of Berger Paints Nigeria Plc, will be retiring from the Board
effective from the 2021 Annual General Meeting.

The Board remains appreciative of their immense contributions to the Company for the entirety of their respective tenures.

Consequently, the Board has also approved the appointment, subject to the ratification of the Annual General Meeting, of Mr. Victor Olusegun Adeniji as an Independent Non-Executive
Director effective February 16, 2021.

Mr. Adeniji will be bringing on board, almost four decades of extensive financial services sector experience encompassing multilateral development finance, investment banking and asset management at top-flight institutions, most notably The World Bank/International Finance
Corporation (IFC).

Mr. Adeniji is the Chief Executive Officer of TechnoFuture Nigeria Limited, a Lagos-based technology skills training company and West Africa franchisee for an innovative Canadian e-learning product. He recently co-founded Communities United to Remove Epidemics (the CURE Initiative), a nonprofit that operates in the public health space. He is the co-author of Economies of Help: The Concept Behind the Consortium for Humanitarian Intervention (International
Psychology Bulletin, June 2015).

Mr. Adeniji studied Economics at Pembroke College, Cambridge University, where he earned BA and MA degrees in 1986 and 1990, respectively.

In 2002 he served as a member of the Nigerian Securities & Exchange Commission Committee on
Corporate Governance that drafted a muscular corporate governance code for listed companies.

In 2001 he was nominated as one of the 100 Global Leaders for Tomorrow by the World Economic Forum.

LivingTrust Mortgage bank has appointed Mr. Timothy Olorunsogo Gbadeyan as company secretary/head of legal services.

The bank disclosed in a statement signed by Ikechukwu Omuku, the Finance Officer/Head, Investor Relations, LivingTrust Mortgage Bank Plc.

The statement reads “We wish to notify The Nigerian Stock Exchange and the investing public of the appointment Mr. Timothy Olorunsogo Gbadeyan as Company Secretary/Head, Legal Services of LivingTrust Mortgage Bank Plc.

“Mr. Gbadeyan is a consummate corporate attorney with experiential background in deals advisory, real estate finance, facioring, general commercial transactions, corporate governance, company secretarial services and regulatory compliance. Until his appointment, he was the Head of Legal Services of Infinity Trust Mortgage Bank Plc.”

AfDB Appoints Dr. Beth Dunford as Vice President

The African Development Bank Group (AfDB) has announced the appointment of Dr. Beth Dunford as its Vice President, Agriculture, Human and Social Development. The appointment becomes effective from July 1, 2021.

A statement explained that Dunford, a national of the United States of America, brings extensive experience to this role. She has held senior-level leadership positions in the US government, where she managed large and complex programs, working with the private sector, civil society, and multilateral and bilateral institutions, as well as with African governments, to deliver agricultural, social and human development impact at scale.

Prior to her appointment, Dunford worked as the Assistant to the Administrator in the U.S. Agency for International Development’s (USAID’s) Bureau for Resilience and Food Security, as well as the Deputy Coordinator for Development for Feed the Future, the U.S. government’s global hunger and food security initiative.

“In this dual role, she coordinated Feed the Future across multiple U.S. government agencies, oversaw a $1 billion annual budget and leveraged millions of direct private sector investment annually. In this capacity, she also coordinated a $2.3 billion Feed the Future presidential initiative across 11 US government agencies and forged partnerships within the private sector and civil society targeted at reducing hunger and poverty.

“She also led USAID’s technical and regional expertise focused on improving agriculture-led growth, resilience, nutrition and water security, sanitation and hygiene,” the statement added.

President of the African Development Bank, Dr. Akinwumi Adesina said he was delighted to appoint Dunford as Vice President to lead the Bank’s work on Agriculture, Human and Social Development.

“Beth is a strategic and effective leader with deep knowledge and impressive track record in designing and delivering highly impactful large-scale programs that have helped in lifting 27 million people out of poverty in 36 countries,” he added.

The Board of Chemical and Allied Products Plc (CAP Plc) has appointed Dr. Vitus Ezinwa as a Non-Executive Director of the company effective from Thursday June 17, 2021, subject to the approval of the Company’s shareholders at the next Annual General Meeting.

The company announced in a statement signed by Ayomipo Wey, Company Secretary/General Counsel, CAP Plc.

Dr. Ezinwa is a seasoned business manager and human resource professional with experience in leading multinational corporations.

He is currently the Chief Operating Officer (COO) of UAC of Nigeria Plc (“UACN”) and previously, the Group Director of HR at UACN.

Prior to Joining UACN, Dr. Ezinwa worked as Group Human Resources Director for Promasidor Africa; Human Resources Director, CocaCola Nigeria & Equatorial Africa with responsibility for 10 countries and Human Resources Director for British American Tobacco, West & Central Africa covering Ghana, Benin, Niger & Togo.

Dr. Ezinwa was, until recently, the Group Human Resource Director for Tropical General Investments (TGI) Group.

He is a member of the Advisory Board of Afterschool Graduate Development Centre, member of the Institute of Directors and a Fellow of the Chartered Institute of Personnel and Development (CIPD) UK.

He is a co-founder and Director of HR Network Africa and was until 2014, a member of the Lagos Business School’s Advisory Board. He holds a Bachelor’s degree in Sociology/Anthropology from the University of Nigeria, Nsukka, MBA in Management from Lagos Business School, a Master’s in applied business research and a Doctorate in Business Administration, both from Swiss Business School, Zurich, Switzerland.

In addition to holding an executive director role on the Board of UACN, Dr. Ezinwa is a non-executive director of Grand Cereals Limited.
