Ecobank Schedules August 13 EGM to Consider Articles of Association Amendments

Ecobank Transnational Incorporated has scheduled an Extraordinary General Meeting for August 13, 2026, to seek shareholders’ approval for proposed amendments to its Articles of Association.

The meeting will be held virtually at 10:30 a.m. GMT, equivalent to 11:30 a.m. West African Time.

The pan-African banking group did not provide details of the proposed amendments in the meeting notice. Supporting documents are expected to provide shareholders with further information before voting.

Shareholders wishing to participate in the meeting must register through Ecobank’s online meeting portal between July 30 and August 11, 2026.

Eligible investors may also appoint representatives by completing the prescribed proxy form and indicating their voting decisions.

Completed proxy forms must be delivered to Ecobank Transnational Incorporated’s registered office in Lomé, Togo, or submitted electronically by the close of business on August 12.

The bank said the proxy form and other documents relating to the meeting would be available at its registered office and on its corporate website.

Shareholders can submit questions ahead of the meeting through the designated EGM email address.

Amending the Articles of Association could affect the company’s internal governance framework, shareholder procedures, board powers or other corporate rules.

However, the precise scope of the changes will depend on the resolutions and supporting materials circulated by Ecobank.

The Articles of Association serve as a company’s internal constitution, establishing the rules governing decision-making, shareholder meetings, voting and the responsibilities of directors.

Any amendment approved at the extraordinary meeting will become part of Ecobank’s formal governance structure, subject to relevant regulatory and filing requirements.

Ecobank Transnational Incorporated operates across several African markets and is listed on the Nigerian Exchange, Ghana Stock Exchange and BRVM regional exchange.

The notice was issued on July 20 by order of the board and signed by Company Secretary Madibinet Cisse.
